Q. What is Clearwire?
- Clearwire (NASDAQ: CLWRD for the first 20 trading days, CLWR thereafter) offers a robust suite of advanced wireless high-speed Internet services to consumers and businesses.
- The company is building the first, nationwide 4G mobile Internet wireless network, bringing together an unprecedented combination of speed and mobility.
- Clearwire’s open all-IP network, combined with significant spectrum holdings, provides unmatched network capacity to deliver next-generation broadband services.
- Clearwire is focused on delivering a simple value proposition aimed at improving our customers’ productivity and making their lives more enjoyable, wherever they happen to be.
- Clearwire currently provides 4G mobile Internet services in Baltimore, Md., and provides pre-WiMAX services in 50 markets across the U.S. and Europe.
Q. What are the basic elements of the transaction?
- Clearwire and Sprint Nextel Corporation have combined their next-generation wireless broadband businesses to create a new independent, mobile Internet company.
- Clearwire has received a $3.2 billion investment from Comcast, Intel through Intel Capital, Time Warner Cable Google and Bright House Networks.
- In addition to a cash investment, Clearwire has entered into commercial agreements with all of the corporate investors, intended to expand the reach of our services well beyond what Clearwire could accomplish on its own.
- The new company retains the name Clearwire and remains headquartered in Kirkland, Wash. It will continue to have a focused technology and eastern deployment presence in Herndon, Va.
Q: Are the terms of the deal the same as those announced in May?
- Yes. The transaction with Sprint and the new cash investment were completed on the terms originally announced on May 7, 2008.
Q: Does the new transaction mean that Clearwire is now part of Sprint?
- No. Clearwire and Sprint are separate, stand-alone companies with their own management teams and boards of directors. Each company trades on their respective stock exchanges: NASDAQ: CLWRD for the first 20 trading days, CLWR thereafter; and NYSE: S.

Q: What is Clear™? How does it relate to Clearwire?
- Our company’s name remains Clearwire and Clear™ is the brand for our next-generation 4G Internet services.
- The Clearwire brand will continue to be used wherever we operate pre-WiMAX networks, but as these markets switch over to mobile WiMAX technology, our intent is to rebrand those markets with Clear™ as well.
Build Plan / Market Rollouts
Q: What WiMAX markets will launch in 2009?
- Clearwire’s 4G network is currently available in Baltimore, Md. Our multi-year network build-out plan will bring WiMAX first to Portland, Oregon, with a commercial launch in early Q1 2009. Clearwire will share roll-out plans for future markets and upgrade plans for existing pre-WiMAX markets in early 2009.

Q: What is WiMAX?
- Simply put, WiMAX ─ short for Worldwide Interoperability for Microwave Access ─ is broadband on the go, putting Internet access directly in the hands of our customers, wherever they are, at speeds similar to today’s home high-speed DSL connections.
Existing Clearwire & Sprint Customers
Q: As an existing Clearwire customer, when will I have WiMAX?
- We are currently planning to deploy mobile WiMAX in most of our current markets in 2009.
Q: Which products will Clearwire continue to sell?
- Clearwire will continue to offer its current product and service offerings – residential broadband service, PC card, express card and VoIP service – in our existing pre-WiMAX markets.
Existing XOHM Customers
Q: What does the transaction mean for XOHM customers? Is the XOHM name/service going away?
- In the coming months, the Clear™ brand will replace the XOHM service name previously used by Sprint Nextel in the Baltimore, Md., market. Clearwire expects current XOHM customers to experience a seamless transition, and they will continue to enjoy the current benefits of their devices, service plans and features.
Q: When will the transition happen?
- Over the coming months, we will communicate with XOHM customers about the brand change, but we expect the experience to be a seamless transition. They will continue to enjoy the current benefits of their devices, service plans and features.
Q: Who do I call if I have questions about by XOHM service? Still 877-333-XOHM?
- Yes. XOHM Care will be available to customers during our regular business hours of Monday through Sunday: 7 a.m. to 1 a.m. Eastern Time.
Q: Will my XOHM device (modem, card, etc.) work in other Clearwire WiMAX coverage areas when they launch?
- Not at this time. However, now that the transaction is complete, we are working towards a seamless integration of XOHM and Clearwire devices in all markets.
Q: Will Clear™ be embedded in new devices like XOHM was going to be?
- Yes.
Q: Will Clearwire or Clear™ devices be able to access My XOHM and My XOHM services?
- Any device with an Internet connection and supported browser can access My XOHM and My XOHM services. However, an active XOHM account with a XOHM username and password are required.
Q: Can I add a device in a Clearwire market on a XOHM account?
- Until all systems are integrated, XOHM customers will need a separate Clearwire subscription and device within a Clearwire market.
Q: Do I need to do anything to keep my service active?
- No, all XOHM services and memberships will stay active. Members will not need to contact XOHM Care to maintain their service.
Q: Will my coverage change?
- No, the transaction will have no impact on current coverage.
Q: Will I lose my XOHM Locker data?
- No, all XOHM products and services will be unchanged at the time of the transaction close.
Q: Do I continue to use XOHM.com as my Internet destination for my products and services and online account management functions?
- Yes, for the foreseeable future until we transition the Baltimore market to the Clear™ brand, xohm.com is the internet destination for all XOHM members.
Q: Will I be able manage my XOHM and Clearwire devices in one place online?
- No, at the time of transaction close. More information will become available on account management functions as both systems are integrated, but we are committed to making it a seamless transition for our customers.
